1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of True Autograph’s website, products, and related e-signature services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms on behalf of yourself or the business entity you represent.
If you do not agree to these Terms, you may not use the Services. We may update these Terms from time to time. If we make material changes, we will notify you, and your continued use of the Services after those changes take effect constitutes your acceptance of the revised Terms.
2. Using True Autograph
To use our Services, you must be of legal age (18 or older) and capable of forming a binding contract. You are responsible for maintaining the security of your account.
- Account Responsibility: You are responsible for all activity that occurs under your account. You must keep your password secure and notify us immediately of any unauthorized use.
- Corporate Accounts: If you are using True Autograph on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
- E-Signatures: You acknowledge that electronic signatures carry the same legal weight as physical signatures in most jurisdictions, and you intend for your electronic signatures via True Autograph to be legally binding.
- Paper Requests and Withdrawals: Before signing, each signer is shown a disclosure and asked to agree to use electronic records. As the sender, you are responsible for honoring a signer’s request to sign on paper, a request for a paper copy, and any withdrawal of that agreement, at no charge to the signer, and for sending each request to the signer’s correct email address.
3. Acceptable Use Policy
We strive to keep True Autograph secure and reliable. You agree not to misuse the Services or help anyone else do so. Specifically, you may not:
- Break the Law: Use the Services for any illegal, fraudulent, or unauthorized purpose.
- Compromise Security: Attempt to hack, disable, overburden, or reverse engineer any part of the Services.
- Steal Data: Use automated scripts, scrapers, or bots to extract data or content from the Services.
- Infringe: Upload or share content that violates the intellectual property, privacy, or legal rights of others.
- Compete: Use the Services to benchmark, copy features, or build a competitive product.
We reserve the right to suspend or terminate accounts that violate these rules, without prior notice.
4. Subscriptions, Payments, and Refunds
True Autograph may offer paid Subscription Plans. By selecting a paid plan, you agree to pay the fees associated with your chosen tier.
- Billing Cycles: Subscriptions automatically renew at the end of your billing cycle (monthly or annually) unless you cancel your plan beforehand.
- Payment Methods: You must provide a valid payment method. By keeping a card on file, you authorize us to charge it for your recurring subscription and any overage fees.
- Usage Fees: Paid plans include a monthly allowance of requests. Requests past the allowance, and ID checks past any included in your plan, are charged at the rates shown on the pricing page, on a separate invoice after the month ends.
- Payments You Collect: When you collect a payment from a signer through your connected Stripe account, True Autograph keeps a platform fee of 0.5% of each payment, which Stripe deducts before the funds reach your account. Stripe also charges its own processing fees. If a payment is refunded automatically because the request could no longer be signed, the platform fee is refunded too.
- Taxes: You are responsible for all applicable local, state, or federal taxes associated with your purchase.
- No Refunds: Payments are non-refundable. If you cancel your subscription, you will retain access to the paid features until the end of your current billing period, but we do not provide prorated refunds for partial usage.
5. Intellectual Property Rights
True Autograph respects your ownership of your data, while retaining ownership of our technology.
- Your Content: You retain all ownership rights to the documents, signatures, and data you upload to the Services. You grant us a limited license to process, store, and display this data solely to provide the Services to you, for as long as our Privacy Policy's Data Retention section describes.
- Keeping Your Records: True Autograph has zero retention: when a request ends, we delete the document, the signatures, and any mapped data, and keep only the record of who signed, when, and from where. The signed PDF is emailed to every signer and the sender when the last person signs. You are responsible for keeping the signed copies you need, for example for any record-keeping rule that applies to you. We cannot recover a document after it is deleted.
- Our Property: True Autograph and its licensors retain all right, title, and interest in the Services, including the software, code, UI design, logos, and trademarks. You are granted a limited, non-exclusive right to use the Services as intended.
- Feedback: If you send us ideas, suggestions, or feedback, we may use it freely without compensation or obligation to you.
6. Disclaimers
The Services are provided "AS IS" and "AS AVAILABLE." We make no guarantees that the Services will be entirely uninterrupted, secure, or error-free.
To the maximum extent permitted by law, True Autograph disclaims all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We are not a law firm, and using our tool does not constitute legal advice or guarantee the enforceability of any specific contract.
7. Limitation of Liability
To the fullest extent permitted by law, True Autograph shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of your use of the Services.
In no event shall our total aggregate liability for all claims related to the Services exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
8. Termination
You may terminate this agreement at any time by deleting your account and discontinuing your use of the Services. We may terminate or suspend your access to the Services immediately if you breach these Terms or fail to pay subscription fees.
Upon termination, your right to use the Services will immediately cease. Provisions regarding intellectual property, disclaimers, limitation of liability, and governing law will survive termination.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if they qualify. You and True Autograph agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
